About these terms
These Terms and Conditions apply to the use of the Elevate Mindset website and the purchase and delivery of services provided by Elevate Mindset Ltd.
Please read them carefully before requesting, booking or purchasing a programme.
Elevate Mindset’s services are intended principally for businesses, organisations and professional clients. If services are purchased by an individual acting wholly outside their trade, business or profession, additional consumer rights may apply and will not be excluded by these terms.

Our services
Elevate Mindset provides workplace learning and development services, including:
• Half-day programmes.
• Full-day programmes.
• Two-day programmes.
• Continued support.
• Bespoke workshops and programmes.
• Online sessions.
• Other related workplace development services agreed in writing.
The content, format, duration, location, participant numbers, delivery dates and fees for each engagement will be described in the relevant proposal, quotation, booking confirmation or other written agreement.
Forming an agreement
An enquiry, conversation, proposal or quotation does not by itself create a binding booking.
A booking is confirmed when:
• The client accepts the relevant proposal or quotation in writing.
• The client accepts these Terms and Conditions.
• Elevate Mindset receives the required booking payment.
• Elevate Mindset confirms the booking in writing.
The person accepting a proposal on behalf of an organisation confirms that they have the authority to enter into the agreement for that organisation.
If there is a conflict between these Terms and Conditions and an agreed written proposal, the proposal will take priority in relation to the specific services it describes.
Fees
The fee for each programme will be stated in the relevant proposal or quotation.
Elevate Mindset Ltd is not currently registered for VAT, and VAT will therefore not be added unless otherwise stated.
Unless the proposal states otherwise, the agreed fee will include the delivery costs associated with the programme, including any agreed travel, accommodation, venue hire, catering and specialist materials.
Any work or costs requested by the client that fall outside the agreed scope must be approved in writing and may result in an additional fee.
Booking payment
A non-refundable booking payment equal to 50% of the total programme fee is required to secure the agreed delivery date.
A date is not reserved until the booking payment has been received and the booking has been confirmed by Elevate Mindset in writing.
The remaining balance must be paid no later than 14 days before the programme begins.
Where a booking is made fewer than 14 days before delivery, the full fee will be payable when the booking is confirmed.
Invoices and late payment
Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date.
Regardless of the general invoice period, the programme fee must be paid in full before delivery begins.
If an invoice remains unpaid after its due date, Elevate Mindset may:
• Suspend preparation, delivery or continued support.
• Withhold programme materials.
• Release a provisionally reserved date.
• Charge statutory interest and recovery costs available under applicable late-payment legislation.
The client remains responsible for paying all amounts properly due under the agreement.
Client cancellation
The following charges apply if the client cancels a confirmed programme:
More than 30 days before delivery
The 50% booking payment will be retained. No further programme fee will be payable.
Between 15 and 30 days before delivery
Seventy-five per cent of the total programme fee will be payable.
Fewer than 15 days before delivery
The full programme fee will be payable.
Cancellation notice must be provided in writing by email to info@elevatemindset.co.uk.
The relevant notice period will be calculated from the date on which Elevate Mindset receives the written cancellation.
Client rescheduling
A client may request one change to the agreed programme date by giving at least 30 days’ written notice.
Rescheduling is subject to Elevate Mindset’s availability and must normally take place within six months of the original delivery date.
Any further request to change the date may be treated as a cancellation and a new booking.
A request made 30 days or fewer before delivery will be treated as a cancellation unless Elevate Mindset agrees otherwise in writing.
Elevate Mindset may recover any reasonable, non-refundable costs already committed in connection with the original date.
Cancellation or changes by Elevate Mindset
Elevate Mindset will make reasonable efforts to deliver the agreed programme as planned.
In exceptional circumstances, Elevate Mindset may need to:
• Change the programme date or location.
• Adapt the delivery format.
• Replace a facilitator with a suitably qualified alternative.
• Make reasonable changes to the programme content.
• Cancel the programme.
If Elevate Mindset cancels a programme and cannot offer a suitable alternative, the client will receive a refund of the fees paid for the affected service.
Elevate Mindset will not be responsible for the client’s indirect costs or losses arising from a cancellation or change, including participants’ travel arrangements or loss of working time.
Participant numbers
The proposal will specify the agreed or anticipated number of participants.
The client must inform Elevate Mindset of any significant change to participant numbers as soon as reasonably possible.
Additional participants require prior written approval and may result in an additional fee, a change of venue, additional facilitators or an adjustment to the delivery format.
Elevate Mindset may refuse additional participants where their inclusion would affect safety, programme quality, venue capacity or the agreed learning experience.
A reduction in participant numbers does not automatically reduce the agreed programme fee.
Client responsibilities
The client is responsible for:
• Providing accurate information about its requirements.
• Appointing an appropriate contact person.
• Communicating relevant programme information to participants.
• Providing final participant numbers within the agreed timeframe.
• Ensuring participants are able to attend and engage appropriately.
• Informing Elevate Mindset of relevant accessibility, safety or adjustment requirements.
• Obtaining any permissions needed to share participant information.
• Providing a safe and suitable working environment where the programme takes place at the client’s premises.
• Following reasonable health, safety and venue instructions.
• Ensuring that its conduct and the conduct of participants do not disrupt or endanger the programme.
Elevate Mindset may pause or end a session if it reasonably believes that continuing would be unsafe, unlawful, seriously disruptive or inappropriate. No refund will be due where this results from the client’s or a participant’s conduct.
Accessibility and health information
Elevate Mindset aims to make its programmes inclusive and accessible.
The client should notify Elevate Mindset of any relevant accessibility requirements or reasonable adjustments as early as possible.
Participants should not be required to disclose more personal information than is necessary. Where health or accessibility information is needed, it must be provided lawfully and with the participant’s knowledge.
Elevate Mindset will take reasonable steps to accommodate disclosed requirements but cannot guarantee that every adjustment will be possible in every venue or delivery format.
Nature of the programmes
Elevate Mindset programmes provide workplace education, facilitated self-enquiry, reflective learning and practical development tools.
They are not medical treatment, psychotherapy, psychiatric care or a substitute for professional healthcare.
Participants remain responsible for deciding whether an activity is appropriate for them and may choose not to participate in a particular exercise.
Participants should seek appropriate professional advice where they have concerns about their physical or mental health.
Elevate Mindset does not diagnose health conditions or guarantee particular personal, professional or organisational outcomes.
Online delivery
Where services are delivered online, the client and participants are responsible for:
• Having a suitable internet connection and compatible device.
• Joining through the link provided.
• Choosing an appropriate and reasonably private environment.
• Keeping access links and passwords secure.
Elevate Mindset is not responsible for connection failures, equipment problems or technical disruption outside its reasonable control.
Where significant technical problems on Elevate Mindset’s side prevent delivery, we will make reasonable efforts to rearrange or complete the affected service.
Programme materials and intellectual property
All intellectual property rights in Elevate Mindset’s programmes, methodology, frameworks, presentation materials, exercises, workbooks, recordings and supporting resources remain the property of Elevate Mindset Ltd or the relevant rights holder.
The client and its participants receive a limited, non-exclusive and non-transferable right to use materials supplied to them for their own internal learning and development.
Unless Elevate Mindset provides prior written permission, programme materials must not be:
• Copied or reproduced beyond reasonable participant use.
• Sold, licensed or distributed externally.
• Published online or uploaded to another system.
• Used to train people who did not attend the programme.
• Adapted into another training programme, product or service.
• Presented as the client’s or another person’s original work.
• Used to train an artificial-intelligence system or produce competing materials.
Attendance at a programme does not qualify or authorise a participant to facilitate, teach or commercially deliver Elevate Mindset’s methodology.
Recording, photography and publicity
Clients and participants must not record, photograph, livestream or reproduce a programme without prior written permission from Elevate Mindset.
Elevate Mindset will not use identifiable photographs, video, participant contributions, testimonials, client names or client logos for promotional purposes without appropriate permission.
Where photography or filming is planned, participants will be informed and given a genuine opportunity not to be included.
Confidentiality
Each party agrees to protect confidential information received in connection with the programme and not disclose it unnecessarily.
Participants may be invited to share reflections or experiences during a programme. No participant is required to disclose personal information they do not wish to share.
Elevate Mindset will establish reasonable expectations of respect and confidentiality within facilitated sessions. However, it cannot guarantee the conduct of every participant or accept responsibility for an unauthorised disclosure made by another participant.
The client should avoid asking Elevate Mindset to provide personal details about individual participants unless there is an appropriate and lawful reason to do so.
Data protection
Each party must comply with applicable data-protection law when collecting, using or sharing personal information in connection with a programme.
Information about how Elevate Mindset uses personal information is available in our Privacy Policy.
Programme outcomes
Elevate Mindset will provide its services with reasonable care and skill.
The effectiveness of a programme may depend on factors outside Elevate Mindset’s control, including participation, organisational culture, management support and the implementation of learning after delivery.
Elevate Mindset does not guarantee a particular commercial, performance, wellbeing or behavioural outcome.
Limitation of liability
Nothing in these Terms and Conditions excludes or limits liability where doing so would be unlawful, including liability for:
• Death or personal injury caused by negligence.
• Fraud or fraudulent misrepresentation.
• Any other liability that cannot legally be excluded or limited.
Subject to the above, Elevate Mindset will not be liable for:
• Indirect or consequential loss.
• Loss of profit, revenue, business, opportunity, anticipated savings or goodwill.
• Loss caused by inaccurate or incomplete information supplied by the client.
• Decisions made by the client or participants following a programme.
• Acts or omissions of the client, participants, venues or other third parties.
• Events outside Elevate Mindset’s reasonable control.
Subject to any liability that cannot legally be limited, Elevate Mindset’s total liability arising from a programme or agreement will not exceed the total fees paid or payable for the service giving rise to the claim.
The limitations in this section apply only to the extent that they are reasonable and legally enforceable.
Events outside reasonable control
Neither party will be liable for delay or failure caused by an event outside its reasonable control.
Such events may include severe weather, transport disruption, illness, epidemic, government action, venue closure, utility or internet failure, industrial action, civil emergency or natural disaster.
The affected party must notify the other as soon as reasonably possible.
The parties will attempt to agree a suitable alternative date, location or delivery format. If that is not reasonably possible, either party may end the affected service.
Any refund or payment due will take account of work already completed and reasonable costs that cannot be recovered.
Ending the agreement
Either party may end the agreement immediately by written notice if the other party:
• Commits a serious breach that cannot be corrected.
• Fails to correct a remediable breach within a reasonable period after receiving written notice.
• Becomes insolvent or ceases trading.
Elevate Mindset may also suspend or end the agreement if required payments remain overdue.
Ending the agreement does not affect rights, responsibilities or payments that arose before it ended.
Terms relating to payment, confidentiality, intellectual property, data protection and liability will continue where appropriate.
Website use
The information provided on this website is general information and does not constitute medical, legal, financial or other professional advice.
We make reasonable efforts to keep the website accurate and available but do not guarantee that it will always be complete, current, secure or uninterrupted.
You must not:
• Misuse or attempt to interfere with the website.
• Introduce malicious code.
• Attempt to gain unauthorised access to the website or its supporting systems.
• Copy or commercially exploit website content without permission.
Our website may include links to external websites. Elevate Mindset does not control and is not responsible for their content, availability or privacy practices.
Complaints
If a client has a concern about a programme or service, it should contact Elevate Mindset as soon as possible at info@elevatemindset.co.uk.
We will acknowledge the concern and make reasonable efforts to investigate and resolve it fairly.
Changes to these terms
Elevate Mindset may update these Terms and Conditions from time to time.
Changes will apply to future bookings from the date they are published.
The terms applying to an existing confirmed booking will normally be those accepted when that booking was made, unless the parties agree otherwise in writing.
General terms
Neither party may transfer its rights or obligations under the agreement without the other party’s written permission, except where legally permitted.
If any provision is found to be invalid or unenforceable, the remaining provisions will continue in effect.
A delay in enforcing a right does not mean that right has been waived.
Nothing in the agreement creates a partnership, joint venture, employment relationship or agency between the parties.
A person who is not a party to the agreement has no right to enforce its terms under the Contracts (Rights of Third Parties) Act 1999.
Governing law and jurisdiction
These Terms and Conditions and any dispute arising from them are governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction, unless applicable law requires otherwise.
